1. Acceptance of Terms

By accessing or using ExtensionPay ("Service", "Platform", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to both extension developers ("Developers") and end-users ("Users") who purchase through extensions integrated with our Platform.

2. Description of Service

ExtensionPay provides a payment processing platform that enables browser extension developers to accept one-time payments and subscriptions from their users. We handle payment processing via Stripe and PayPal, manage subscriptions, trial periods, and provide developer dashboards for analytics and customer management.

3. Eligibility

  • You must be at least 18 years old to use this Service
  • Developers must have legal capacity to enter into binding contracts
  • You must provide accurate and complete registration information
  • You may not use the Service if you have been previously banned

4. Developer Obligations

4.1 Registration and Account

  • Provide accurate information during registration
  • Maintain security of your API keys and credentials
  • Notify us immediately of any unauthorized access
  • You are responsible for all activity under your account

4.2 Integration Requirements

  • Integrate our SDK according to documentation
  • Implement HMAC signature verification in production
  • Do not attempt to bypass payment verification
  • Respect rate limits and API quotas

4.3 Pricing and Transparency

  • Clearly communicate pricing to your users
  • Provide accurate trial period information
  • Do not use deceptive billing practices
  • Honor refund requests in accordance with your policies

4.4 Prohibited Activities

Developers may not use the Service to sell or promote:

  • Illegal goods, services, or activities
  • Content that violates intellectual property rights
  • Malware, spyware, or deceptive browser extensions
  • Adult content or services restricted to minors
  • Gambling services (unless properly licensed)
  • Cryptocurrency mining without user consent

5. User Rights and Obligations

5.1 Purchases and Subscriptions

  • Charges are processed by Stripe or PayPal
  • Subscription renewals are automatic unless canceled
  • You will receive email receipts for all transactions
  • Refunds are subject to the developer's refund policy

5.2 Cancellation

  • You may cancel subscriptions at any time via the Customer Portal
  • Cancellation takes effect at the end of the current billing period
  • No pro-rated refunds for partial billing periods (unless developer policy states otherwise)

5.3 Trials

  • Trials are limited per device/email combination
  • Trial abuse (using multiple emails/devices) may result in account termination
  • Trials convert to paid subscriptions automatically unless canceled

6. Fees and Payment Terms

6.1 Platform Fees

ExtensionPay charges a 5% platform fee on all successful transactions (one-time and recurring). This fee is deducted from the transaction amount before payout to developers.

6.2 Payment Processor Fees

Stripe and PayPal charge their own processing fees (typically 2.9% + $0.30 per transaction). These fees are in addition to our platform fee and are disclosed during payment setup.

6.3 Payouts to Developers

  • Payouts occur according to Stripe/PayPal schedules (typically weekly)
  • Minimum payout threshold may apply
  • We reserve the right to hold payouts for fraud investigation (up to 90 days)

6.4 Taxes

Developers are responsible for all taxes associated with their sales. We provide transaction reports but do not file taxes on your behalf. You may be required to configure Stripe Tax or provide tax information to comply with local regulations.

7. Intellectual Property

7.1 Platform IP

All rights, title, and interest in the ExtensionPay platform, SDK, documentation, and branding are owned by Rocky Mountain Apps. You may not copy, modify, or distribute our software except as explicitly permitted.

7.2 Developer Content

You retain ownership of your extensions and content. By using our Service, you grant us a limited license to display extension names, descriptions, and pricing in our dashboards and analytics.

7.3 DMCA and Copyright

If you believe content on our platform violates your copyright, contact us at dmca@rockymountainapps.com with a DMCA takedown notice.

8. Privacy and Data Protection

Our use of your data is governed by our Privacy Policy. By using the Service, you consent to data collection and processing as described therein. We comply with GDPR, CCPA, and other applicable privacy laws.

9. Termination and Suspension

9.1 Termination by You

  • Developers may close their account at any time
  • Existing subscriptions will continue until cancellation
  • Outstanding fees must be paid before account closure

9.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent activity
  • Accumulate excessive chargebacks
  • Fail to respond to support inquiries
  • Use the Service in a manner that harms other users or the platform

9.3 Effect of Termination

Upon termination, you lose access to the dashboard and SDK. We will retain transaction data for legal compliance (7 years) but will delete personal data upon request, subject to legal obligations.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

The Service is provided "AS IS" without warranties of any kind. We do not guarantee uninterrupted availability and are not liable for downtime, data loss, or business interruption.

10.2 Third-Party Services

We rely on Stripe and PayPal for payment processing. We are not responsible for their outages, errors, or policy changes. Developers should maintain direct relationships with payment processors.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless ExtensionPay and its affiliates from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of third-party rights, or (d) the content and functionality of your extensions.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in Colorado, except for claims eligible for small claims court. You waive the right to participate in class actions.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email 30 days in advance. Continued use of the Service after changes constitutes acceptance. If you disagree, you must stop using the Service and close your account.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ExtensionPay.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign them freely in connection with a merger, acquisition, or sale of assets.
